Board e-signature with a document fingerprint and audit trail
How signing works in Mithaq: signers in order, a typed-name signature, a SHA-256 fingerprint of the document, and an audit record per step. What it is, and what it does not claim.
What kind of electronic signature does Mithaq use?
A typed-name signature inside a signing envelope. Each signer receives a private link in turn, types their name, and the envelope records the time, the IP address, the browser and the SHA-256 fingerprint of the document they signed. If the document file changes after the envelope is sent, the fingerprint no longer matches and signing stops. Mithaq does not claim that this signature meets any particular country's legal standard; your counsel decides which documents it is fit for.
- An envelope, signed in order
- The fingerprint ties the signature to one exact file
- Minutes sign-off is a separate, simpler act
- What we do not claim
An envelope, signed in order
The secretary creates an envelope with a title, the PDF to be signed and a list of signers in order. Only the current signer has a live link. The next signer's link is sent after the current one signs. A signer can decline and give a reason, which stops the envelope. The secretary can revoke a signer, and an envelope can carry an expiry time after which nobody can sign.
Signing links are 32-character random tokens, so they cannot be guessed, and each one stops working once it has been used or revoked. When the last signer signs, the envelope is complete and a PDF of the envelope record can be downloaded.
The fingerprint ties the signature to one exact file
When the envelope is created, Mithaq computes the SHA-256 hash of the PDF. If the caller states a hash and it does not match the file, the envelope is refused. Every signature entry in the audit record carries the same hash, so the record shows that each signer signed the same bytes.
For contracts, the rule is stricter. A contract can only go to signature from its current approved version: the approval must cover that version, every approval step must be complete, and the fingerprint of the PDF must match the one the approvers saw. A contract that was edited after approval cannot be sent for signature on the old approval.
Minutes sign-off is a separate, simpler act
Board minutes do not need an envelope. The chair signs them off from the meeting page with a saved signature, and the sign-off records who signed and when and locks the minutes on the server. The minutes feature page explains how an amendment re-opens that lock under control.
What we do not claim
This is a typed-name signature with an audit trail. It is not a qualified electronic signature backed by a government-issued certificate or a national identity card, and Mithaq does not present it as one. Some documents, such as filings with a registry or instruments that a law says must be signed in a particular form, may need a different method. Ask your counsel which of your documents this signature suits, and use it for those.
